These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you”) and MatchMyBiz LLC (“Company,” “we,” “us,” or “our”) governing access to and use of the MatchMyBiz platform (the “Platform”). By creating an account, accessing, or using the Platform, you agree to be bound by these Terms.

1. Incorporation of Platform Policies
These Terms incorporate by reference the following policies (collectively, the “Platform Policies”):

• Acceptable Use Policy
• Export & Sanctions Compliance Policy
• AI Transparency & Ranking Disclosure
By agreeing to these Terms, you also agree to be bound by the Platform Policies, each of which forms an integral part of this agreement.

2. Description of Services
MatchMyBiz provides a digital B2B marketplace platform facilitating connections between buyers and suppliers based on HS codes and related trade data, analytics, and insights.
Company is not a party to transactions between users and does not act as agent, broker, fiduciary, advisor, or guarantor. All transactions are conducted solely between users at their own risk.

3. Eligibility and Accounts
You must be at least 18 years old and authorized to represent a business entity.
You agree to:
• provide accurate and complete information
• maintain the security of your account credentials
We reserve the right to suspend or terminate accounts at our discretion.

4. Legal and Trade Compliance
You are solely responsible for compliance with all applicable laws and regulations, including:
• export controls
• sanctions laws
• customs requirements
• trade licensing obligations
You may not use the Platform to transact with prohibited parties or destinations.

5. User Content
You retain ownership of content you upload but grant Company a worldwide, non-exclusive license to host, display, process, and use such content for purposes of operating and improving the Platform.
You are solely responsible for:
• accuracy
• legality
• compliance of your listings, representations, and communications

6. Fees and Subscriptions
Certain features may require payment of subscription fees.
• Subscriptions may renew automatically unless canceled prior to renewal
• Fees are billed in advance and are generally non-refundable except as required by law
• You authorize MatchMyBiz and its payment processors (including Stripe) to charge your payment method
• You are responsible for maintaining accurate billing information
We may modify pricing or features with reasonable notice. Changes apply prospectively.

7. Disclaimer of Warranties
THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:
• MERCHANTABILITY
• FITNESS FOR A PARTICULAR PURPOSE
• NON-INFRINGEMENT
WE DO NOT GUARANTEE:
• TRANSACTION OUTCOMES
• USER COMPLIANCE WITH LAWS
• ACCURACY OF HS CLASSIFICATIONS OR DATA

7A. Trade Data, Analytics, and AI-Generated Insights Disclaimer
The Platform may provide access to trade data, analytics, signals, rankings, forecasts, and AI-generated insights (collectively, “Insights”) derived from third-party data sources, statistical models, and algorithmic processing.
For clarity:
Insights are provided for informational and general business intelligence purposes only and do not constitute:
• financial advice
• investment advice
• trading advice
• legal advice
• customs, regulatory, or compliance advice
• or any recommendation to enter into, avoid, or structure any transaction
You acknowledge and agree that:
(1) No Recommendation or Advice
The Company does not recommend, endorse, or advise any specific trade, transaction, market entry, supplier, buyer, or strategy.
(2) No Reliance
You must not rely on Insights as the sole basis for any business or financial decision.
You are solely responsible for conducting independent due diligence and obtaining professional advice where appropriate.
(3) Data Limitations
Insights may:
• be incomplete, delayed, estimated, or derived from limited datasets
• reflect historical data that may not predict future outcomes
• contain errors, omissions, or model-based assumptions
(4) No Guarantee of Accuracy or Outcomes
The Company makes no representations or warranties regarding:
• accuracy
• completeness
• timeliness
• reliability
• suitability for decision-making
(5) User Responsibility
All decisions made based on the Platform or Insights are made entirely at your own risk.

8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, COMPANY SHALL NOT BE LIABLE FOR ANY:

• SPECIAL
• CONSEQUENTIAL

• PUNITIVE DAMAGES
INCLUDING BUT NOT LIMITED TO:
• LOSS OF PROFITS
• LOSS OF BUSINESS
• LOSS OF DATA
• LOSS OF GOODWILL
COMPANY SHALL NOT BE LIABLE FOR:
• TRADE LOSSES
• CUSTOMS DELAYS
• SANCTIONS VIOLATIONS
• REGULATORY FINES
• DISPUTES BETWEEN USERS
Insights-Specific Limitation
WITHOUT LIMITING THE FOREGOING, COMPANY SHALL NOT BE LIABLE FOR ANY LOSSES OR DAMAGES ARISING FROM OR RELATED TO YOUR RELIANCE ON ANY INSIGHTS, DATA, SIGNALS, OR ANALYTICS PROVIDED THROUGH THE PLATFORM, INCLUDING BUT NOT LIMITED TO:
• FAILED OR UNPROFITABLE TRANSACTIONS
• MARKET OR PRICE FLUCTUATIONS
• MISINTERPRETATION OR MISUSE OF DATA
• BUSINESS OR INVESTMENT DECISIONS
Liability Cap
COMPANY’S TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF:
• (A) FEES PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM
• (B) USD $10,000

9. Indemnification
You agree to indemnify, defend, and hold harmless Company from and against any claims, damages, losses, liabilities, fines, or expenses arising from:
• your use of the Platform
• your content or listings
• regulatory violations
• misuse of data or Insights
• breach of these Terms
This obligation is not subject to the liability cap.

We may suspend or terminate your access for violations of these Terms or applicable law.
The following provisions survive termination:

11. Governing Law and Arbitration
These Terms are governed by the laws of the Commonwealth of Virginia, United States, without regard to conflict of law principles.
All disputes shall be resolved through binding arbitration on an individual basis.
You waive:

We may update these Terms from time to time.
Continued use of the Platform after updates constitutes acceptance of the revised Terms.
